La familia Bours obtuvo la concesión de lo que hoy es Megacable en los 70s. La querían para ver el béisbol de las grandes ligas y terminaron por consolidarse como uno los mayores proveedores de servicios de televisión de paga e internet de México. Hace casi un lustro que Televisa, la firma que hoy concentra 65 por ciento de este negocio, puso sobre el escritorio de Francisco Bours, presidente de Megacable, una oferta de compra. Los rumores sobre un nuevo acercamiento vuelven a surgir al tiempo que se aproxima la llegada de América Móvil a la TV restringida en el 2017. Los Bours, dueños de Bachoco, ya no tienen mucho tiempo para decidir si venden o se enfrentan al magnate de las telecomunicaciones: Carlos Slim.
La firma de los Bours está mejor que nunca. Es uno de los operadores de TV de paga más rentables, sus ingresos y flujo operativo crecen a ritmos de 20 por ciento y sus acciones en la Bolsa Mexicana de Valores (BMV) se cotizan en máximos históricos. Su valor de mercado asciende a 3 mil 880 millones de dólares, por lo que el inconveniente para Televisa sería, otra vez, el precio.
Megacable es la empresa más cara del sector. Un análisis de la casa de bolsa Intercam calcula que su Valor Empresa/EBITDA es de 10.2 veces (unos 3 mil 454 millones de dólares). El año pasado, Televisa hizo su compra más cara al absorber las operaciones de Telecable por 10 mil 200 millones de pesos, lo cual representó 10.3 veces su flujo operativo. Esta cifra fue superior al múltiplo de 9.3 veces que pagó por Cablecom y está muy por encima del múltiplo con el que cotiza actualmente Cablevisión, de 6.5 veces.
Sin embargo, para que esta operación se dé, además de un buen acuerdo entre ambas empresas tendría que haber un reacomodo estratégico en el sector de televisión de paga, puesto que la participación de mercado de Televisa escalaría a poco más de 80 por ciento. El porcentaje suena escandaloso. Por eso, los analistas ven como una opción que venda a su socio AT&T la participación de 51 por ciento que tiene en SKY, con lo que el ahora dueño de Iusacell y Nextel entraría también al negocio de TV de paga… a competir eventualmente con Slim.
En octubre pasado, el Instituto Federal de Telecomunicaciones (IFT) determinó que Televisa no tiene poder sustancial en el mercado de televisión de paga, pese a contar con una participación de 62.2 por ciento al cierre de marzo de 2015. Previo a dicha resolución, Televisa ya tenía libertad para adquirir empresas sin aprobación de la autoridad regulatoria, lo cual ejecutó a toda velocidad. Ahora le urge encontrar un catalizador que le ayude a apuntalar sus resultados ante la presión que tiene en la TV abierta. ¿Será Megacable? Sus directivos aseguran que hoy no hay negociaciones, pero el tiempo juega en su contra.
Lo cierto es que la empresa que dirige Enrique Yamuni tiene un plan B para acelerar su crecimiento. Buscará aumentar su alcance través de la Red Compartida, proyecto para el cual se presentarán propuestas y ofertas técnicas el próximo 8 de agosto. La intención de Megacable es ser un proveedor de servicios y también un cliente, pues uno de sus objetivos es lanzar, de nueva cuenta, un Operador Móvil Virtual para poder ofrecerle a sus 5.8 millones de clientes el cuádruple play.
En el pasado, Megacable ofreció este servicio a través de la red de Telefónica, pero fracasó. Lo interesante ahora es que no descarta aliarse con operadores virtuales como Virgin para poder competir más frontalmente con la empresa líder: Telcel.
Megacable y Televisa están más cerca de lo que parece. En el 2010 obtuvieron, junto con Telefónica, una concesión para operar una red de cerca de 22 mil kilómetros de fibra óptica de la Comisión Federal de Electricidad. Quizá por eso y porque Carlos Slim podría poner en riesgo su liderazgo en el negocio de la televisión de paga es que vuelve a sonar con fuerza una posible fusión. Ya se verá.
